Investment in the Maestro Fund is limited to persons that meet the following qualifications.  This Questionnaire is provided for informational purposes only.

This questionnaire is provided for your reference in deciding whether to pursue any interest you may have in the Fund.  This questionnaire  does not in any way constitute an offer by us to sell or issue any interests in the Maestro Fund or to allow any investment in the Maestro Fund. Investment in the Fund is limited to a select group of accredited investors identified by the Fund.  If You are interested in investment in the Fund, or in the properties in which the Fund is invested or contemplating investment, this Questionnaire will assist you in determining whether to contact us for further information.  No investment in the Fund is offered hereunder, or otherwise, without pre-qualification of the potential investor and provision of appropriate disclosure and subscription information in accordance with all applicable state and federal securities laws.

1.  Accredited Status:

Any investor must be an “accredited investor” as defined in Section 501 of Regulation D of the Securities Act of 1933 because the investor is:

2.  Knowledge and Experience:

Any investor should (a) have such knowledge and experience in financial and business matters as to be capable of evaluating the merits and risks of an investment in the Fund; and (b) can afford to bear the economic risk of this investment for an indefinite period of time and has no need for liquidity in any investment.

3.  Resale Limitations:           

Any investment in the Maestro Fund would be (a) acquired for the purchaser’s own account, for investment, and not with a view to resale or distribution; and (b) subject to restrictions on transfer required by the Securities Act of 1933 and applicable state securities laws.  There would be no market for interests in the Maestro Fund.
